Report 64/2009: The purchase of own shares
Pursuant to § 5, section 1, item 6 of The Regulation of the Minister of Finance of 19 February 2009 on current and periodical information […], the Management Board of Complex S.A. hereby informs about the acquisition of own shares by COMPLEX S.A. in order to offer them for acquisition to employees of COMPLEX S.A. and of subsidiary companies (The Employee Programme).
The Management Board hereby informs that by implementing the resolution No 19 of Ordinary General Meeting on May 28, 2009 on agreement on the acquisition of own shares by COMPLEX S.A. and COMPLEX S.A. subsidiary companies to offer them for acquisition to employees of COMPLEX S.A. and of COMPLEX S.A. subsidiary companies, as well as pursuant to “The Regulations of acquisition of COMPLEX S.A. own shares to offer them for acquisition to employees of COMPLEX S.A. and of COMPLEX S.A. subsidiary companies” adopted by the COMPLEX S.A. Management Board resolution on June 4, 2009, the Complex S.A. acquired 6050 own shares of total nominal value PLN 12 100 during stock session on September 08, 2009.
The acquired shares are 0,0237% of COMPLEX S.A. share capital and 0,0237% of all votes in General Meeting. The average unit purchased share price was PLN 2,01.
COMPLEX S.A. has acquired 165 650 own shares since the beginning day of purchase, the acquired shares entitle to give 165 650 votes on General Meeting. The own shares acquired by COMPLEX S.A. since the beginning day of purchase are 0,6496% of COMPLEX S.A. share capital and 0,6496% of all votes in General Meeting..
The own shares purchase has started on June 9, 2009 and is conducted under the procedure and due to rules stipulated in above mentioned Regulations. The purchase will be conducted no longer than until June 3, 2010. Within the framework of the Employee Programme of own shares purchase, COMPLEX S.A. may acquire no more than 500 000 shares.
