4 515 500 ordinary bearer shares of COMPLEX are offered within Public Bid (Offered Shares):

• 3.765.500 newly issued Shares of C Series,
• 750.000 Shares of A Series (Shares for Sale).

In pursuant to this Prospectus, no more than 25 500 000 Issuer shares of nominal value 2 PLN of each are introduced into trading on the market of official stock-exchange quotations :

• 750.000 bearer ordinary shares of Series A,
• 20.909.500 bearer ordinary shares of Series B,
• no more than 3.765.500 bearer ordinary shares of Series C,
• no more than 75.000 bearer ordinary shares of Series D.

No more than 3 765 500 Rights attached to Shares of Series C are introduced into trading on the market of official stock-exchange quotations.

Offered Shares are divided into the following tranches:
·    the Tranche of Big Investors (TDI)  - 3.600.000 shares,
·    the Tranche of Small Investors (TMI) - 915.500 shares.

Shares of Series A are to be offered to investors within Tranche of Big Investors (TDI) 
Before registration for Offered Shares, so called the book building will be proceeded.
The range of prices: 5-6,60 PLN

Investors may register for Offered Shares according to the following rules:

• TMI – min. registration is for 10 Shares of  Series C, max. registration is for all shares of Series C offered within this Tranche - 915.500.
• TDI – min. registration beside the book building is for 20.000 Offerred Shares, max. registration is for all Shares for Sale and all Shares of Series C offered within this Tranche – 3.600.000.
  For Investors who are listed on the Initial Allocation List, registration may be possible for less than 20 000 Offered Shares (according to the Initial Allocation List).
• In The Declaration of Interest of the Acquisition of Offered Shares, Investor has to specify the amount of shares no less than 20 000 shares and no more than the amount of Offered Shares in TDI

Registration for shares is to be conducted by brokerage office of Bank Ochrony Środowiska in POK as stated in Attachment No 4 hereto this Prospectus.
